The Swedish competition authority clears the largest Nordic real estate transaction of the year
On 25 June, Wihlborgs signed a share purchase agreement to acquire competitor Castellum’s real estate portfolio in the south of Sweden, to a property value of 13.32 billion SEK, covering about 635 000 m2.
The transaction is expected to bring about significant synergies, allowing Wihlborgs to continue improving its offering to existing and future tenants.
The transaction required notification to the Swedish competition authority and involved several horizontal overlaps, including on a potential affected market for the rental of office space in the greater Malmö area.
Following pre-notification contacts, the deal was formally notified on 14 July and cleared by the Swedish competition authority on 27 July, 9 working days from filing.
Closing is envisaged for autumn 2026.
AIUS advised Wihlborgs on competition law and merger control, working alongside Malmö-based LA PARTNERS, which handled the M&A process.
